Terms of Service

Agreement to Terms

By accessing or using the services of GoodIn Philippines ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Description of Services

GoodIn Philippines provides social media management services including but not limited to:

  • Content creation and copywriting
  • Graphic design for social media posts
  • Social media scheduling and publishing
  • Community management and engagement
  • Monthly performance reporting and analytics

Specific services provided depend on the package selected by the client.

Client Responsibilities

As a client, you agree to:

  • Provide accurate information about your business and social media accounts
  • Grant necessary access to your social media accounts for service delivery
  • Provide timely feedback on content requiring approval
  • Pay all fees according to the agreed payment schedule
  • Comply with all applicable laws and social media platform terms of service
  • Maintain the security of your account credentials

Service Packages and Billing

Our services are provided on a monthly subscription basis. Package details, deliverables, and pricing are outlined in your service agreement. Payment is due at the beginning of each billing cycle. Late payments may result in service suspension or termination.

Content Approval and Usage

All content created by GoodIn Philippines will be submitted for your review and approval before publishing, except for packages that include full management authorization. You retain ownership of your brand assets and approved content. We retain the right to showcase work samples in our portfolio unless otherwise agreed in writing.

Service Modifications

We reserve the right to modify service offerings, packages, and pricing with notice to existing clients. Changes will not affect your current billing cycle but may apply to subsequent renewals.

Termination

Either party may terminate services with written notice before the next billing cycle. Upon termination:

  • Services will continue through the end of the paid period
  • No refunds will be provided for partial months
  • You will receive all content created during the service period
  • Access to your social media accounts will be returned to you

Limitation of Liability

GoodIn Philippines will not be liable for:

  • Changes to social media platform algorithms or policies affecting reach or engagement
  • Account suspensions or penalties resulting from platform policy violations not caused by our actions
  • Loss of followers or engagement due to factors beyond our control
  • Technical issues with third-party platforms
  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount paid by you for services in the three months preceding the claim.

Intellectual Property

Content created specifically for your business becomes your property upon payment. Generic templates, processes, and methodologies remain the intellectual property of GoodIn Philippines. You may not resell or redistribute our services to third parties.

Confidentiality

We will maintain the confidentiality of your business information, account credentials, and proprietary data. We will not share your information with third parties except as necessary to provide services or as required by law.

Performance and Results

While we work diligently to create effective social media content and strategy, we do not guarantee specific results such as follower growth, engagement rates, or business outcomes. Social media performance depends on numerous factors including platform algorithms, market conditions, and audience behavior.

Indemnification

You agree to indemnify and hold harmless GoodIn Philippines from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

Dispute Resolution

Any disputes arising from these terms or our services will be resolved through good faith negotiation. If negotiation fails, disputes will be subject to the jurisdiction of Philippine courts in Metro Manila.

Force Majeure

We will not be liable for failure to perform services due to circumstances beyond our reasonable control, including natural disasters, government actions, internet service disruptions, or social media platform outages.

Changes to Terms

We may update these Terms of Service periodically. Continued use of our services after changes constitutes acceptance of the new terms. We will notify clients of material changes via email.

Entire Agreement

These Terms of Service, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and GoodIn Philippines regarding our services.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Governing Law

These Terms of Service are governed by the laws of the Republic of the Philippines. Any legal action related to these terms must be brought in the appropriate courts of Metro Manila.
